Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and RoundRock Labs Pty Ltd (ABN 50 698 674 967) ("RoundRock Labs", "we", "us" or "our") governing your access to and use of the WealthWise platform and related services (collectively, the "Service").

By registering an account, accessing or otherwise using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms in their entirety. If you do not accept these Terms, you must not access or use the Service.

WealthWise is a personal wealth modelling platform designed for Australian investors. The Service enables users to:

• Consolidate and track net worth across multiple legal entities, including self-managed superannuation funds, family trusts, companies and personal holdings
• Model property portfolios by reference to equity, debt and income characteristics
• Generate long-term wealth projections and retirement planning models
• Conduct scenario analysis in relation to proposed property acquisitions and portfolio changes

The Service operates on a manual-entry basis and does not connect to, access or retrieve data from any financial institution, stockbroker, government authority or third-party data provider. All information within the Service is entered solely by the User for the purpose of personal modelling and planning.

Access to the Service is restricted to persons who:

• Are at least 18 years of age
• Are Australian residents or citizens
• Have provided accurate and complete information at the time of registration
• Intend to use the Service solely for lawful purposes

By using the Service, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to refuse access or terminate accounts where eligibility requirements are not met.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account, whether authorised by you or not. You must notify us immediately at hello@roundrocklabs.ai upon becoming aware of any actual or suspected unauthorised access to or use of your account.

You must not share your account credentials with any other person, permit another person to access the Service using your account, or register more than one account per individual user.

Access to the Service (beyond any applicable free trial period) is subject to payment of the applicable subscription fees as set out at wealthwise.pro/#pricing.

• Free trial: All new accounts receive 30 days of full access to the Service at no charge and without the requirement to provide payment details. Upon expiry of the 30-day trial period, continued access requires selection of a paid subscription plan. We reserve the right to modify or discontinue the free trial offering at any time, provided that any trial already in progress at the time of such modification will be honoured for its full 30-day term.
• Billing: Subscription fees are billed in advance of each billing period. All payments are processed by our third-party payment processor. We do not store or hold your payment card details.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the conclusion of the then-current billing period. We do not provide refunds or credits for any unused portion of a subscription period.
• Suspension of access on expiry: Upon expiry or cancellation of a subscription, your account will be placed in a read-only state. Your data will be retained and full access may be restored upon reactivation of a subscription.
• Variation of fees: We reserve the right to vary subscription pricing at any time. We will provide no less than 30 days' written notice of any increase in subscription fees, which notice will be provided by email to the address associated with your account.

The Service is provided for general modelling and informational purposes only. In particular, the Service:

• Does not constitute financial product advice within the meaning of the Corporations Act 2001 (Cth) or any other applicable legislation
• Does not take into account your individual financial objectives, circumstances or needs
• Does not represent any guarantee, prediction or warranty as to future financial performance or investment returns
• Is not a substitute for advice from a holder of an Australian Financial Services Licence, a registered tax agent or a qualified legal practitioner

All projections and modelling outputs generated by the Service are based solely on the assumptions and data entered by you. Actual outcomes will differ from modelled results. You are solely responsible for any decisions made in reliance on outputs generated by the Service, and you are strongly encouraged to seek independent professional advice before making any financial, investment or legal decision.

The Service includes features designed to assist users in modelling self-managed superannuation fund structures and related compliance parameters. These features are provided for indicative and informational purposes only. They do not constitute legal, accounting, audit or compliance advice and should not be relied upon as such.

You are solely responsible for ensuring that your self-managed superannuation fund and all other legal entities associated with your account comply with all applicable legislation, regulations, determinations and requirements of the Australian Taxation Office and any other relevant regulatory authority. RoundRock Labs accepts no responsibility or liability for any compliance failure arising from your use of the Service.

You agree that you will not, and will not permit any third party to:

• Use the Service for any unlawful, fraudulent or unauthorised purpose
• Attempt to gain unauthorised access to any part of the Service, its underlying infrastructure, or the accounts or data of any other user
• Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying algorithms of the Service
• Use any automated system, script or tool to extract, scrape or harvest data from the Service
• Resell, sublicence, assign or otherwise transfer access to the Service to any third party without our prior written consent
• Introduce any malicious code, virus or other harmful material into the Service

All intellectual property rights in and to the Service, including all software, content, design, trade marks and features, are owned by or licensed to RoundRock Labs Pty Ltd and are protected under Australian and international intellectual property laws. Nothing in these Terms confers any ownership or licence rights in the Service beyond those expressly granted herein.

As between you and RoundRock Labs, all personal and financial information entered by you into the Service remains your property. You grant RoundRock Labs a non-exclusive, royalty-free licence to process, store and display that information solely to the extent necessary to provide the Service to you. This licence terminates upon deletion of your account and associated data.

To the fullest extent permitted by applicable law, RoundRock Labs Pty Ltd, its directors, officers, employees, agents and licensors shall not be liable to you for any indirect, incidental, special, consequential, punitive or exemplary loss or damage of any kind, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or loss arising from investment decisions made in reliance on outputs of the Service, whether arising in contract, tort (including negligence), statute or otherwise, even if advised of the possibility of such loss or damage.

Subject to the paragraph below, our aggregate liability to you in respect of all claims arising under or in connection with these Terms or your use of the Service shall not exceed the total subscription fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) to the extent that such exclusion would be unlawful.

We reserve the right, at our sole discretion, to suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have breached these Terms, engaged in fraudulent, unlawful or harmful conduct, or if we are required to do so by applicable law or a direction from a competent authority. We will provide reasonable notice of suspension or termination where practicable.

You may request closure of your account at any time by contacting us at hello@roundrocklabs.ai. Account closure does not entitle you to a refund of any prepaid subscription fees.

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law principles. Each party irrevocably submits to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia in respect of any dispute, claim or proceeding arising out of or in connection with these Terms or the Service.

We reserve the right to amend these Terms at any time. Where we make a material change to these Terms, we will provide you with no less than 14 days' written notice by email prior to the change taking effect. Your continued use of the Service following the effective date of any amendment constitutes your acceptance of the amended Terms.
